Maybe a modem init string issue?

Not to my knowledge.  But since the tulip_cb (ethernet) driver is
working ok, that is not your problem.  The modem is unrelated and just
uses the regular kernel serial driver.

I'm afraid I don't really know what to suggest regarding the modem
problem.  Maybe it is a matter of choosing the right modem init
string.  The pamphlet that came with my CBEM card doesn't have any
suggestions.  But looking at the .INF file for the modem on the driver
disk, I'd try the following init string:

    AT &F E0 &C1 &D2 V1 S0=0 S95=45 W2
